Telenor remains committed to VimpelCom Ltd. following vote in Special General Meeting

(Fornebu, 17 March 2011) Following the decision in VimpelCom Ltd.'s Special General Meeting of shareholders, approving the creation and issuance of new shares in connection with the Wind Telecom transaction, Telenor reconfirms its continued commitment to the future prosperity of VimpelCom.

"Telenor acknowledges that a majority of the shareholders, as expected, have decided to carry out the acquisition. That said, we note that almost 60 per cent of the unaffiliated shareholders voted against the proposed resolutions, leading to a narrow, overall margin of victory for the supporters of the deal. In particular, if Altimo's additional voting rights (through the preferred shares it holds) are excluded, a clear majority of 51.5 per cent of the total economic interests in VimpelCom said no to the deal," said Telenor Group spokesman Dag Melgaard.

"Even though we believe VimpelCom would have been better off without this deal, we will now continue to work in the best interest of VimpelCom and its shareholders, as well as to help ensure that management eventually deliver positive results from both the existing and the newly acquired operations," said Melgaard.

Telenor will continue to pursue its arbitration proceedings in London to secure the pre-emptive rights it was deprived of as a result of the Wind transaction. "We remain confident that we will prevail in the arbitration and that our pre-emptive rights will be properly reinstated," said Melgaard.

VimpelCom, Altimo, Telenor and Weather Give Undertakings to the Court in Substitute for an Injunction

(Fornebu, Norway - 1 March 2011) VimpelCom Ltd., Altimo Holdings & Investments Ltd., Telenor and Weather Investments II S.à.r.l., the principal shareholder of Wind Telecom S.p.A., today gave undertakings to the Commercial Court in London in order to avoid an injunction being granted. By the undertakings, VimpelCom, Altimo and Weather have agreed to take all necessary actions to cause Telenor's pre-emptive right shares to be promptly issued if the arbitration tribunal grants an award in Telenor's favor.

These undertakings have the same force as an injunction in England, and any breach of the undertakings would be a contempt of Court. Telenor commenced an arbitration proceeding on 28 January 2011 against VimpelCom and Altimo under the VimpelCom Shareholders Agreement in order to protect Telenor's pre-emptive rights in the context of VimpelCom's proposed acquisition of Wind Telecom. Telenor petitioned the Court to provide injunctive relief to protect its voting stake in VimpelCom pending completion of the arbitration proceedings and to ensure that an arbitral award in Telenor's favor can be enforced (as further discussed in Telenor's press releases of 31 January 2011 and 7 February 2011).

VimpelCom, Altimo, Telenor and Weather also gave undertakings to the Court, conditioned on the arbitration tribunal granting an award in Telenor's favor, that Telenor be awarded damages in the amount of lost dividends on the pre-emptive right shares, which amount can be set off against Telenor's purchase price for the pre-emptive right shares. Further, during a one-year period from today (or such other period as the arbitration tribunal will determine), the following undertakings were given:

  • Altimo agreed that it would not to take any action, including transferring its shares, that would cause Telenor and Altimo's combined voting percentage in VimpelCom to fall below a simple majority;
  • Telenor agreed that it would not transfer its VimpelCom shares; and
  • VimpelCom, Altimo and Telenor agreed not to undertake, or cause VimpelCom to undertake, any acquisition, M&A Transaction, share issuance or other action that would dilute Telenor below 25% or that would cause Telenor and Altimo's combined ownership to fall below a simple majority of VimpelCom's voting shares, provided that Telenor has exercised all rights available to it under the VimpelCom Shareholders Agreement to maintain its voting stake in VimpelCom.

New satellite from Telenor

(Fornebu, Norway - February 10, 2011) Telenor Satellite Broadcasting (TSBc) has decided to invest in a new expansion satellite. The satellite will be named THOR 7 and is expected to be ready for launch towards the end of 2013 with a lifespan of 15-20 years. The satellite is intended to provide capacity for broadcasting requirements within Central and Eastern Europe and additional capacity for maritime services.
THOR 7 will join the established THOR fleet at the orbital position of 1 degree West, which already serves nearly 17 million cable and satellite households throughout Europe. It will provide much-needed growth capacity for TV services, specifically in Central and Eastern Europe, where HDTV is fast becoming accepted and 3DTV is expected to play a key role in the future. The new satellite will also be equipped with additional capacity that allows Telenor Satellite Broadcasting (TSBc) to strengthen its maritime service proposition, providing data communication services in areas including the North Sea, the Baltic Sea and the Mediterranean.
"Telenor Satellite Broadcasting is now selecting a suitable satellite manufacturer and expects to award the contract in Q2 2011" said Cato Halsaa, Vice President and CEO of TSBc. "THOR 7 represents both an expansion path supporting our customer's requirements within these growth markets and a commitment to the satellite sector. Telenor's new satellite will be equipped with both Ku- and Ka-band capacity for the provision of broadcasting services and data communications. The satellite will be positioned at 1 degree West, where TSBc's recent replacement and expansion satellites, THOR 5 and THOR 6 are already stationed.

Strong momentum confirmed in fourth quarter

(Fornebu, 8 February 2011) In the fourth quarter of 2010, Telenor Group reported revenues of NOK 24.9 billion, representing an organic revenue growth of eight per cent. EBITDA before other items was NOK 7.2 billion, EBITDA margin was 29 per cent, and operating cash flow margin was 14 per cent. For the full year of 2010, Telenor's revenues was NOK 94.8 billion, EBITDA before other items was NOK 29.2 billion, EBITDA margin was 31 per cent and operating cash flow margin was 19 per cent. Telenor's consolidated mobile operations added close to eight million subscriptions during the fourth quarter and 23 million during the year[1].
"Telenor confirms its position as one of Europe's fastest growing telcos, with organic revenue growth of 8% and strong operational performance. In 2010, the Telenor Group had an operating cash flow of NOK 18 billion and a solid EBITDA margin," said Jon Fredrik Baksaas, President and CEO of Telenor Group.
All-time high shareholder remuneration
"The share buyback programme for 2010 was completed in the fourth quarter. Together with the dividends paid out in May 2010 this resulted in an all-time high shareholder remuneration of NOK 9 billion. Based on the strong financial performance the Management and the Board of Directors propose a dividend of NOK 3,80 per share for 2010, a pay-out ratio in the high end of the dividend policy range," Baksaas said.
Operational excellence
"Our operational excellence programmes are progressing towards the ambitious targets announced in 2010. Going forward, we expect significant long term effects from the ongoing investments in network modernisations. Our ambition is to improve efficiency and enhance customer experience through high quality services," Baksaas said.
13% growth in Asia, overall satisfactory in Nordic and CEE regions
"The established Asian operations reported 13% organic revenue growth in the fourth quarter and obtained an operating cash flow above NOK 10 billion for 2010. Uninor in India added more than four million subscriptions in the fourth quarter and I am pleased to see that our go-to-market model is gradually improving. India is a very competitive market coupled with a challenging regulatory environment, and we are focusing strongly on establishing Uninor as an ultra low cost operator," Baksaas said.
"In the Nordic and the CEE regions, overall performance was satisfactory. However, increased competition in some of the markets requires innovative market approaches and further cost measures," Baksaas said.
VimpelCom
"In January, the Supervisory Board of VimpelCom approved the acquisition of Wind Telecom, and VimpelCom management said it would schedule a shareholders meeting to approve the issuance of new shares in connection with the transaction. In December, Telenor announced its opposition to the transaction because, from Telenor's perspective, it was not strategically nor financially sound for VimpelCom shareholders. At this stage, we believe it is essential that VimpelCom focus on regaining a loss of momentum in the Russian market. On 28 January, Telenor commenced arbitration proceedings against VimpelCom and Altimo to secure Telenor pre-emptive rights and avoid dilution in the event the transaction is completed," Baksaas ends.

Telenor Commences Arbitration against VimpelCom and Altimo to Preserve Telenor's Pre-emptive Rights in the Wind Telecom Transaction

(Fornebu, Norway - 31 January 2011) Telenor has commenced an arbitration proceeding against VimpelCom Ltd. and Altimo Holdings & Investments Ltd. under the VimpelCom Shareholders Agreement in order to protect Telenor's pre-emptive rights in the context of VimpelCom's proposed acquisition of Wind Telecom S.p.A.

Telenor has requested an arbitration tribunal to determine that VimpelCom's proposed acquisition of Wind Telecom is not a Related M&A Transaction under the VimpelCom Shareholders Agreement and that Telenor is entitled to exercise its pre-emptive rights under the Shareholders Agreement in connection with the issuance of new VimpelCom shares to the Wind Telecom shareholders if VimpelCom's proposed acquisition of Wind Telecom is completed.

Telenor Says VimpelCom Acquisition of Wind Telecom Makes No Sense, Will Harm VimpelCom Minority Shareholders

(Fornebu, Norway - 17 January 2011) Following the VimpelCom Ltd. Board's decision yesterday to approve VimpelCom's acquisition of Wind Telecom S.p.A., Telenor ASA has stated that it will try to stop the acquisition from being completed.

VimpelCom has called a shareholders meeting for 17th March to consider the approval of the VimpelCom Board approved issuance of up to 325,639,827 new VimpelCom common shares and an additional 305,000,000 new VimpelCom preferred shares to the owners of Wind Telecom. Together, the new shares will give the owners of Wind Telecom a 30.6 % voting stake in VimpelCom, representing 1.53 times the 20 % economic stake the owners of Wind Telecom stand to receive. Telenor's three nominees on the VimpelCom Board voted against the approval of the acquisition because they do not believe it makes strategic or financial sense for VimpelCom and will harm VimpelCom's shareholders. The other six members of the VimpelCom Board voted to approve the transaction.

"We did not support the original proposal because it did not make strategic or financial sense. The revised proposal makes even less sense as the consideration now being offered is even more generous to the owners of Wind Telecom. Existing VimpelCom shareholders face considerable additional dilution if this acquisition is completed on the terms approved by the Board," said Telenor spokesman Dag Melgaard. "As a result of this transaction, VimpelCom minority shareholders' existing 18.6 % voting stake will be diluted to 12.9 %, despite their having an economic stake of 16.3 %. In our view, the disconnect between economic and voting stakes negatively affects the attractiveness of VimpelCom as an investment case for public investors. "

Telenor issued a stock exchange announcement on 20 December 2010, stating that it would not support the proposed transaction. At the same time, Telenor informed VimpelCom's management that, in order to avoid dilution, it would not waive its pre-emptive rights under the VimpelCom shareholders agreement. Until this point, the transaction was an unrelated M&A transaction, granting Telenor and Altimo full pre-emption rights under the terms of the VimpelCom shareholders agreement. However, on 10th January 2011, Altimo informed VimpelCom for the first time that entities controlled by Gleb Fetisov, an indirect minority shareholder of Altimo, had acquired 0.7% of Wind Telecom's 51.7% subsidiary Orascom Telecom Holding S.A.E. Altimo claims that this changes the transaction into a related party M&A transaction, as a result of which Telenor would be deprived from its pre-emptive rights. On this basis, the proposed transaction was approved by the VimpelCom Board against the Telenor-nominated directors' vote.

"We see this as an obvious deception that violates the VimpelCom shareholders agreement. It is an artificial construct aimed at depriving Telenor of its pre-emptive rights and we will defend our rights in order to protect Telenor's and the VimpelCom minority shareholders' investment in VimpelCom. At the upcoming VimpelCom shareholders meeting, we will vote against the approval of the issuance of the new shares to Wind Telecom's owners, and we urge VimpelCom minority shareholders to do the same."

Telenor ASA currently holds a 36% voting and 39.6% economic interest in VimpelCom Ltd.

Telenor Does Not Support Proposed VimpelCom Acquisition of Weather Investments

(Fornebu, Norway - 20 December 2010) As formally communicated to VimpelCom Ltd.'s Chairman yesterday, based on the information available to it and recent developments, Telenor ASA has determined that the proposed acquisition by VimpelCom Ltd. of Weather Investments S.p.A. is not in the best interests of VimpelCom shareholders and therefore does not intend to support the transaction.

"We strongly support VimpelCom's expansion in accordance with the principles agreed at the time the company was created. However, in our capacity as a shareholder of VimpelCom Ltd., we do not believe this transaction makes strategic or financial sense for VimpelCom's shareholders," said Telenor spokesman Dag Melgaard.

Third quarter 2010: strengthened growth, margins and outlook

Group delivered yet another strong quarter, with increased organic revenue growth, solid EBITDA margin and an operating cash flow of NOK 5.6 billion,” said Jon Fredrik Baksaas, President and CEO of Telenor Group.

Strong development in Asia
“Our established operations in Asia reached an organic growth in revenues of 13 per cent this quarter with annualised operating cash flow of NOK 9.3 billion. At the same time all market positions were maintained or improved. Telenor Pakistan performed better than we expected following the flooding which has severely affected the country,” Baksaas said.

“I am pleased to see promising development for Uninor in India this quarter with strong growth in subscriptions and increased average revenue per user. These improvements are a result of a focused market approach and other measures. Going forward we will continue our efforts to increase revenues and improve business processes,” Baksaas said.

Mobile data growth in the Nordic region
“The Nordic region continues to benefit from mobile data growth. However, total revenue growth was impacted by reduced international roaming fees, lower growth in handset revenues and increased competitive pressure. In Norway, we introduced new service offerings in the business segment in October to strengthen our position. Despite the ongoing mobile network modernisation we are delivering an annualised operating cash flow of NOK 10.1 billion. In addition, our broadcast business achieved 4 per cent organic revenue growth combined with strong margins,” Baksaas said

Important agreements
“During the quarter, we are pleased to have entered into important agreements regarding network modernisation and mobile Internet that in the longer term will benefit our customers,” Baksaas said.

Improved outlook for 2010
“Our outlook for 2010 has been revised upwards, as a result of strengthened operational performance, as well as the deconsolidation of EDB Business Partner. We now expect higher organic revenue growth and EBITDA margin, as well as a somewhat reduced capex to sales ratio,” Baksaas said.

ВымпелКом объединяется с компанией Weather для создания новой глобальной телекоммуникационной группы

Амстердам, 4 октября 2010 года: Компании «ВымпелКом Лтд.» («ВымпелКом») и Weather Investments S.p.A («Weather») рады объявить, что они подписали сегодня соглашение в отношении объединения двух групп компаний («Сделка»), создавая пятого крупнейшего оператора мобильной связи в мире по размерам абонентской базы, с объемом чистой операционной выручки на основе проформы 21,5 миллиарда долларов США и EBITDA на основе проформы в размере 9,5 миллиардов долларов США за год, закончившийся 31 декабря 2009 года.

По завершении Сделки ВымпелКом будет владеть, через Weather, 51,7% компании «Orascom Telecom Holding S.A.E.» («Orascom Telecom») и 100% «Wind Telecomunicazioni S.p.A.» («Wind Italy»). По условиям Сделки акционеры Weather передадут ВымпелКому свои акции Weather в обмен на пакет, состоящий из 325 639 827 новых выпущенных обыкновенных акций ВымпелКома, денежные средства в размере 1,8 миллиарда долларов США и некоторые активы, которые будут выделены из «Orascom Telecom» и из «Wind Italy». Доли Weather в этих активах, которые включают в себя главным образом инвестиции Orascom Telecom в Египте и Северной Корее, будут переданы существующим акционерам Weather. Греческий актив Wind Hellas Telecommunications S.A. полностью исключен из Сделки.

(“Altimo”) будут владеть соответственно 31,7% и 31,4% экономического участия и 29,3% и 36,4% голосующих акций Компании. У миноритарных акционеров доля экономического участия в ВымпелКом будет составлять 17%, а доля голосующих акций – 15,7%.

Предполагается, что в расширенный Совет директоров ВымпелКома, который будет состоять из 11 членов, Weather будет номинировать двух директоров, а Telenor и Altimo, будут по-прежнему номинировать по три директора. Три члена Совета директоров будут по-прежнему не аффилированными ни с одним крупным акционером.

Условия подписанного соглашения 3 октября 2010 года получили единогласное одобрение Наблюдательного Совета ВымпелКома и Совета Директоров Weather.

Основная операционная и финансовая информация

По закрытии сделки ВымпелКом станет пятым крупнейшим оператором мобильной связи по абонентам в мире, который

¨ осуществляет операции в 20 странах в Европе, Азии, Африке и Северной Америке, на территории где проживает в общей сложности около 850 миллионов человек

¨ имеет чистую операционную выручку 21,5 миллиарда долларов США на основании проформы по результатам года, закончившегося 31 декабря 2009 года

¨ имеет скорректированную EBITDA на основании проформы по результатам 2009 года 9,5 миллиарда долларов США, а маржа EBITDA за 2009 год - приблизительно 44%.

Цели сделки

Объединение ВымпелКом и Weather приведет к созданию значительной ценности для акционеров как в краткосрочной, так и в долгосрочной перспективе.
В результате Сделки существенно увеличится масштаб операций и сформируется новая глобальная телекоммуникационная компания, имеющая более 174 миллионов абонентов.

Произойдет значительная диверсификация доходной базы ВымпелКома. На основе проформы по итогам 2009 года доля существующих российских операций составит 36%, а доля Wind Italy - 34 % в объединенной компании . В группе также будет представлен привлекательный набор активов на развивающихся и развитых рынках в Восточной Европе, Азии и Африке. Объединенная группа будет иметь сбалансированный профиль бизнес рисков, повышающий ее способность достигать прибыльного роста, в том числе в сегменте услуг мобильной передачи данных.

Существует значительный потенциал для создания стоимости за счет синергий между операциями ВымпелКома и Weather, которые по оценкам составляют 2,5 миллиарда долларов США NPV. Главным образом эти синергии будут достигаться за счет операционных расходов в области закупок и капитальных затрат.

Финансирование

Оплата денежными средствами в размере 1,8 миллиарда долларов США будет финансироваться за счет текущего остатка денежных средств, а также новых долговых обязательств.

Дополнительно, Сделка затронет положения о смене контроля в существующих долговых обязательствах группы Weather, что может потребовать рефинансирования некоторых из таких долговых инструментов. ВымпелКом и Weather планируют запустить финансовый процесс, включая направление заявлений о получении согласий в необходимых случаях, в октябре – ноябре. Компании уже получили письма от участвующих в финансировании банков, которые с высокой долей уверенности подтверждают планируемое рефинансирование.

Общий объем дополнительного финансирования, которое будет необходимо привлечь с учетом получения разрешений по существующим долговым инструментам, как ожидается, будет находиться в диапазоне от 2 до 2,5 миллиарда долларов США. По завершении Сделки чистый долг составит 24 миллиарда долларов США.

Предполагается, что будут по-прежнему использоваться независимые структуры финансирования на уровне Wind Italy и Orascom Telecom, при этом часть долга Orascom Telecom на уровне холдинговой компании будет рефинансирован за счет внутригруппового займа от ВымпелКом. Весь долг дочерних компаний Orascom Telecom, как предполагается, сохранится. Часть требований по рефинансированию долга может также быть выполнена за счет отчуждения неключевых активов.

Финансовое состояние ВымпелКома после закрытия Сделки останется устойчивым. Соотношение чистого долга к EBITDA за последние 12 месяцев ВымпелКома на основе проформы по состоянию на 30 июня 2010 года увеличится после закрытия Сделки до 2,5 и предполагается, что в последующем этот показатель будет быстро снижаться.

Дивидендная политика

Дивидендная политика ВымпелКома, в отношении ежегодного распределения как минимум 50% объединенного свободного денежного потока от операций Киевстара и российских операций ОАО «ВымпелКом», подтверждена.

Условия Соглашения о продаже и обмене акций

Обязательные условия закрытия Сделки включают в себя, помимо прочих, получение разрешений, необходимых согласно законодательству о конкуренции или антимонопольному законодательству в ряде юрисдикций; получение корпоративных одобрений, в том числе одобрения совета директоров, одобрение акционеров ВымпелКома в отношении выпуска акций в связи со Сделкой и любых других необходимых вопросов; финансирование, а также подписание юридически обязательного соглашения акционеров между Altimo, Telenor и акционерами Weather. В случае невыполнения любого обязательного условия, соглашение может быть расторгнуто.

Активы, которые планируется выделить из Orascom Telecom после завершения сделки, включают 34,7% доли прямого и косвенного участия в «Egyptian Company for Mobile Services» («ECMS»), 75,0% доли участия в «Koryolink» в Северной Корее, а также некоторые операции связанные с подводным морским кабелем и интернет порталом. Активы, которые будут отделены от «Wind Italy», включают интернет портал Libero, дочернюю компанию «Wind International Services», оказывающую оптовые услуги связи, и бизнес, связанный с подводным морским кабелем между Италией и Грецией. Точная структура сделки по передаче этих активов будет разработана и скоммуницирована на более поздних этапах.

Процесс выделения или отчуждения активов потребует оформления необходимой документации и разрешений, в том числе одобрения акционеров Orascom Telecom.

В случае, если планируемое выделение активов осуществить не удастся по регуляторным или другим причинам, будут реализованы альтернативные варианты.

Предполагаемый график сделки

В соответствии с соглашением о продаже и обмене акций потребуются финальные одобрения советов директоров и акционеров обеих компаний в отношении Сделки. Планируется, что внеочередное общее собрание акционеров ВымпелКома состоится до конца года, при этом получение регуляторных одобрений и завершение сделки ожидается в первом квартале 2011 года. Выделение активов планируется завершить к третьему кварталу 2011 года.

Telenor, крупнейший оператор фиксированной и мобильной связи Норвегии, модернизирует свою фиксированную сеть и внедряет решение IMS (IP Multimedia Subsystem – сетевая архитектура на базе IP) от Ericsson.

Трансформировав свою сеть фиксированной связи в единую конвергентную сеть на основе IMS и постепенно переведя своих абонентов на единую сервисную платформу на базе IP, Telenor сможет предложить пользователям высококачественную голосовую связь и передовые мультимедийные услуги. Платформа также полностью адаптирована для реализации услуг голосовой связи в рамках стандарта 4G.

В рамках контракта Ericsson также объединит все данные абонентов мобильных и фиксированных сетей в централизованную базу данных на основе многоуровневой архитектуры данных (DLA). Это позволит Telenor предлагать абонентам единые пакеты услуг фиксированной и мобильной связи, отвечая потребностям как индивидуальных, так и корпоративных клиентов.

Архитектура IMS позволит оператору внедрять мультимедийные сервисы нового поколения. Telenor and Opera to co-operate on mobile Internet growth worldwide

(Oslo, Norway - 25 August, 2010) - The Telenor Group and Opera Software announce a non -exclusive Global Frame Agreement aiming to stimulate rapid growth of mobile Internet services across Telenor's business units. Telenor's business units can co-brand, distribute and run the Opera Mini mobile browser across its mobile handset and subscriber portfolios. As a result, Telenor's customers in all geographies will be able to enjoy a fast, affordable and user-friendly mobile web experience on their favourite handset.
Under the agreement, Opera Software and any of Telenor Group's business units may develop a co-branded version of Opera Mini that is adapted to the local operator. Opera Mini is the world's most popular mobile phone browser with 60 million monthly users.

Changes to the Telenor Group Executive Management

(Fornebu 27.08.2010) Bjørn Magnus Kopperud, Executive Vice President and Head of Telenor Group People & Organisation, has been appointed Deputy Head of Telenor Central and Eastern Europe. He will take up his new position following today's announcement and withdraw from the Group Executive Management.
- Bjørn Magnus Kopperud has since he joined Telenor in 1994 held several senior positions related to our international operations and since 2003 served Telenor well as the head of our Group People & Organisation unit (human resources department). He has been responsible for developing and implementing what we call the Telenor Way that defines how we do business in Telenor, said Jon Fredrik Baksaas, CEO and President of the Telenor Group. - I am also pleased that he will take on the new challenge in the CEE region. It is a good example of mobility and a display of how we want leaders to move between different positions throughout Telenor, said Baksaas.
New challenges
- I am excited about taking on new challenges. Interim replacement
Senior Vice President and advisor to the Group CEO, Ingvald Fergestad, will temporarily serve as Executive Vice President and Head of People and Organisation until a permanent replacement is announced.
During his tenure, Ingvald Fergestad will also take responsibility for parts of the present Group Communications and for a restructuring process, aiming to reorganize and streamline parts of the Group units.
New head of Corporate Communications
Pål Kvalheim has been appointed Senior Vice President, Corporate Communications, Telenor Group. In this role he will report to the CEO and President Jon Fredrik Baksaas and be participating in the Group Executive Management (GEM) meetings.
